Terms of Service

1. About these terms
These Terms of Service (“Terms”) form a binding agreement between you and Horváth Media s.r.o., the operator of the Culllab service (“Culllab”, “we”, “us”). By creating an account or otherwise using Culllab, you agree to be bound by these Terms and by our Privacy Policy.
2. The service
Culllab is a web application that lets photographers and other professionals share photo galleries with their clients for review, comments, and selection. We may add, change, or discontinue features over time.
3. Eligibility
You must be at least 16 years old to use Culllab. If you create an account on behalf of an organisation, you confirm that you have the authority to bind that organisation to these Terms.
4. Your account
- You can create an account by signing in with a one-time email code or by signing in with Google.
- You are responsible for keeping your sign-in credentials and access tokens secure, and for any activity carried out under your account.
- One account per person or organisation. You may not share your account or sell access to it.
- Notify us promptly at hello@culllab.com if you believe your account has been accessed without your permission.
5. Your content
You retain all rights, including all intellectual property rights, in the photos and other content you upload to Culllab (“Your Content”). We do not claim ownership of Your Content.
To operate the service you grant us a worldwide, non-exclusive, royalty-free licence to store, host, process, transmit, and display Your Content solely for the purpose of providing Culllab to you and to the viewers you invite. This licence ends when you delete Your Content or close your account (subject to short retention for backups as described in the Privacy Policy).
You are responsible for keeping your own master copies of any content you upload. While we take backups of the Service for operational reasons, we do not guarantee that Your Content will always be recoverable, and Culllab should not be used as your only backup of important files.
6. Acceptable use
You agree not to use Culllab to:
- upload, share, or distribute content that is illegal, infringing, defamatory, harassing, hateful, or sexually exploitative;
- upload malware, viruses, or any code intended to disrupt or compromise the service or other users;
- attempt to gain unauthorised access to accounts, systems, or data;
- scrape, crawl, or extract data from Culllab in a way that places undue load on the service;
- circumvent any access controls, rate limits, or security mechanisms;
- misuse the access we grant your invited viewers (e.g., enabling them to do any of the above).
7. Reporting illegal content
If you believe content hosted on Culllab is illegal or infringes your rights, please send a notice to abuse@culllab.com. Include enough information for us to identify the content (e.g., the gallery URL), an explanation of why you consider it illegal or infringing, and your contact details. We will assess the notice in accordance with applicable law, including the EU Digital Services Act, and take appropriate action.
8. Plans and billing
- A free tier is available. Paid plans, if and when offered, are subject to the prices and terms posted on our pricing page at the time of purchase.
- VAT or other applicable taxes will be charged where required by law.
- Where you are an EU consumer, you have the statutory right of withdrawal as set out under EU consumer law, except where you expressly request and acknowledge that performance of a digital service begins before the withdrawal period ends, in which case the right of withdrawal is lost.
9. Suspension and termination
- You may delete your account at any time from your account settings or by emailing us.
- We may suspend or terminate your account if you breach these Terms, with notice where reasonable, or immediately where the breach is serious or where required by law.
- Upon termination, the licence you granted us in Section 5 ends and Your Content is deleted in line with our retention schedule.
10. Service availability
Culllab is provided “as is” and “as available”. We do not warrant that the service will be uninterrupted, error-free, or always available. We may perform maintenance, change, or discontinue features, with notice where reasonable.
11. Limitation of liability
To the maximum extent permitted by applicable law, Horváth Media s.r.o. shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of Culllab.
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, for fraud, or for any mandatory consumer rights you have under Slovak or EU law.
12. Indemnity
You agree to indemnify and hold Horváth Media s.r.o. harmless from any third-party claim, liability, damage, or cost (including reasonable legal fees) arising out of Your Content, your use of Culllab in breach of these Terms, or your violation of any law or third-party right.
13. Force majeure
Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, strikes, pandemics, government action, internet or power outages, or failures of third-party infrastructure (such as cloud, CDN, or DNS providers).
14. Changes to these terms
We may update these Terms from time to time. Material changes will be notified by email to the address on your account at least 30 days before they take effect. If you do not agree to the updated Terms, you may close your account before they take effect. Continued use of Culllab after the effective date constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of the Slovak Republic, without regard to its conflict-of-laws rules. The courts of the Slovak Republic have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
If you are a consumer resident in the EU, you retain the protection of the mandatory provisions of the law of your country of residence and may bring proceedings in the courts of that country. The European Commission also provides an Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
16. General provisions
- Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ original intent as closely as possible.
- Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Horváth Media s.r.o. concerning the Service and supersede any prior agreements on the same subject.
- Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms (in whole or in part) to an affiliate or in connection with a merger, acquisition, reorganisation, or sale of assets, on notice to you.
- No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later.
